Section 1. Welcome to RedCarpetHQ!

This page contains our Terms of Service. When you use RedCarpetHQ, you're agreeing to all the rules below.

By using this website (the "Site") and any of the services (together with the Site, the "Services") offered by RedCarpetHQ Pte. Ltd. (together with its parents, subsidiaries, affiliates, agents, representatives, consultants, employees, officers, and directors—collectively, "RedCarpetHQ," "we," or "us"), you're agreeing to these legally binding rules (the "Terms" or "Terms of Service"). You're also agreeing to our Privacy Policy and Cookie Policy, and agreeing to follow any other rules on the Site, including our Community Guidelines and rules for starting campaigns, which are incorporated in these Terms by reference. In addition to the Site, Services means services offered by RedCarpetHQ from time to time including, but not limited to, blockchain-based crowdfunding services, tokenization services, decentralized finance (DeFi) services, and associated services made available to producers and supporters.

We may update these Terms from time to time as laws, our Services and practices change. We encourage you to review these Terms periodically. If you keep using RedCarpetHQ after a change, we will assume you accept the current version. These Terms may be translated into another language for your convenience; in the event of a conflict between the English version and any translations, the English version shall control.

RedCarpetHQ is for your personal, non-commercial use, except as explained in Section 4 and Section 5 below.

Section 2. About Creating an Account

You must be 18 years old or over to sign up for a RedCarpetHQ account. You're responsible for your account and all the activity on it.

You can browse RedCarpetHQ without registering for an account. But to use some of RedCarpetHQ's functions, you'll need to register, which includes choosing a username, connecting a Web3 wallet, and setting authentication credentials. When you do that, all of the information you give us has to be accurate and complete. Don't impersonate anyone else or choose names that are offensive or that violate anyone's rights. If you don't follow these rules, we may cancel your account.

You're responsible for all the activity on your account, including all transactions made through your connected wallet, and for keeping your wallet credentials and private keys confidential and secure. If you find out that someone has used your account or wallet without your permission, you should report it to RedCarpetHQ Support immediately.

Important: You are solely responsible for maintaining the security of your Web3 wallet and private keys. RedCarpetHQ does not have access to your private keys and cannot recover them if lost. Loss of your private keys may result in permanent loss of access to your tokens and funds.

Section 3. Things You Definitely Shouldn't Do

This section is a list of things you probably already know you shouldn't do—lie, break laws, abuse people, steal data, hack other people's computers, manipulate markets, and so on. Please behave yourself. Don't do this stuff.

Millions of people use blockchain technology and decentralized platforms. We expect all of them to behave responsibly and help keep this a nice place. Whether you are a visitor, producer, collaborator or supporter, don't do any of these things on the Site or through our Services. We reserve the right to take any action we think appropriate if you do so, including suspending or terminating your account.

Don't break the law. Don't take any action that infringes or violates other people's rights, violates the law, or breaches any contract or legal duty you have toward anyone.

Don't lie to people. Don't post information you know is false, misleading, or inaccurate. Don't do anything deceptive or fraudulent.

Don't offer prohibited items. Don't offer any rewards or tokens that are illegal, violate any of RedCarpetHQ's policies, rules, or guidelines, or violate any applicable law, statute, ordinance, or regulation.

Don't victimize anyone. Don't do anything threatening, abusive, harassing, defamatory, libelous, tortious, obscene, profane, or invasive of another person's privacy.

Don't spam. Don't distribute unsolicited or unauthorized advertising, marketing or promotional material, or any junk mail, spam, or chain letters. Don't run mail lists, listservs, or any kind of auto-responder or spam on or through the Site, including in comments you post to campaigns you support.

Don't harm anyone's computer. Don't distribute software viruses, malware, or anything else (code, films, programs) designed to interfere with the proper function of any software, hardware, or equipment on the Site (whether it belongs to RedCarpetHQ or another party).

Don't abuse other users' personal information. When you use RedCarpetHQ — and especially if your campaign is successfully funded — you may receive information about other users including supporters of your campaign, such as their names, email addresses, wallet addresses, and postal addresses. This information is provided for the sole purpose of participating in a RedCarpetHQ campaign: don't use it for other purposes, and don't abuse it. If you share this information with authorized collaborators, you are responsible for ensuring they understand and adhere to the restrictions and conditions imposed in these Terms including the Privacy Policy.

Don't manipulate markets or engage in wash trading. Don't engage in market manipulation, wash trading, or any other deceptive trading practices. Don't create artificial trading volume or misleading market conditions. Such activities will result in risk tier elevation and may lead to account suspension.

We also need to make sure that the Site is secure and our systems function properly. So don't do any of these things—most of which boil down to "don't mess with our system."

Don't try to interfere with the proper workings of the Services.

Don't bypass any measures we've put in place to secure the Services.

Don't try to damage or get unauthorized access to any system, data, password, or other information, whether it belongs to RedCarpetHQ or another party.

Don't take any action that imposes an unreasonable load on our infrastructure, or on our third-party providers. (We reserve the right to determine what's reasonable.)

Don't use any kind of software or device (whether it's manual or automated) to "crawl" or "spider" any part of the Site.

Don't take apart or reverse engineer any aspect of RedCarpetHQ in an effort to access things like source code, underlying ideas, or algorithms.

Don't attempt to exploit smart contract vulnerabilities or engage in any activity that could compromise the security or integrity of our blockchain infrastructure.

Section 4. How Blockchain Crowdfunding Campaigns Work

Most of our Terms of Service explain your relationship with RedCarpetHQ. This section is different—it explains the relationship between producers and supporters of RedCarpetHQ campaigns, and who's responsible for what. This is what you're agreeing to when you create or support a RedCarpetHQ campaign.

RedCarpetHQ provides a blockchain-based funding platform for film projects. When a producer posts a campaign on RedCarpetHQ, they're inviting other people to form a contract with them. Anyone who supports a campaign by purchasing tokens is accepting the producer's offer, and forming that contract.

RedCarpetHQ is not a part of this contract—the contract is a direct agreement between producers and their supporters, executed through smart contracts on the Ethereum blockchain. To the extent these Terms conflict with any supplemental or additional terms that are applied by a producer to their campaign, these Terms prevail. Here are the terms that govern the agreement between a producer and their supporters:

1. Producer Obligations. During a campaign, and especially when a campaign is successfully funded, producers owe their supporters a high standard of effort, honest communication, and a dedication to bringing the project to life. At the same time, supporters agree and acknowledge they're not buying a product when they support a campaign—they're helping to create something new and receiving campaign tokens in return. They are also not purchasing securities or investment contracts. Every project is different. There may be changes or delays, and there's a chance something could happen that prevents the producer from being able to finish the project.

2. Token-Based Support. When you support a campaign, you receive ERC20 tokens representing your contribution. These tokens are:

  • Not securities or investment contracts

  • Not guarantees of financial return

  • Tradable on the RedCarpetHQ marketplace after campaign graduation

  • Potentially eligible for dividend distributions if the producer chooses to share revenue

  • Subject to smart contract execution and blockchain confirmation

  • Your sole responsibility to custody and secure
  • 3. Campaign Success and Graduation. A campaign is considered successful if it reaches its floor funding goal by the deadline. Upon success:

  • The producer receives the raised funds (in USDC) to their designated wallet

  • Campaign tokens become tradable on the marketplace

  • The UnifiedVault is deployed for DeFi functionality

  • Supporters can trade, lend, or hold their tokens

  • The producer may distribute dividends to token holders
  • 4. If a Producer Cannot Complete Their Project. If a producer is unable to complete their project, they must make a reasonable effort to find another way of bringing the project to the best possible conclusion for supporters. A producer in this position has remedied the situation and met their obligations to supporters if:

  • They post an update that explains what work has been done, how funds were used, and what prevents them from finishing the project as planned

  • They work diligently and in good faith to bring the project to the best possible conclusion under the circumstances, in a timeframe that's communicated to supporters

  • They're able to demonstrate that they've used funds appropriately and made every reasonable effort to complete the project as promised

  • They've been honest, and have made no material misrepresentations in their communication to supporters

  • They offer to return any remaining funds to supporters (in proportion to the amounts contributed), or else explain how those funds will be used to complete the project in some alternate form
  • 5. Producer Responsibility. The producer is solely responsible for fulfilling their project and delivering any promised rewards. If they're unable to satisfy these terms, they may be subject to legal action by supporters. RedCarpetHQ reserves the right to take any action it deems appropriate with respect to campaign funds while a dispute is pending.

    6. Smart Contract Execution. All campaign transactions are executed through battle-tested smart contracts on the Ethereum blockchain. Once a transaction is confirmed on the blockchain, it cannot be reversed. You acknowledge and accept the immutable nature of blockchain transactions.

    Section 5. How Funding Works

    This section goes over the details of supporting and creating campaigns—things like how money gets collected, whether contributions can be changed or canceled, and how tokens are distributed.

    These are the terms that apply when you support a campaign during a live campaign before the funding deadline:

    You're only charged if the campaign reaches its fundraising goal. You'll provide your payment information and approve the transaction when you contribute, and your USDC will be transferred to the campaign smart contract. Your funds will only be released to the producer if, at the time of the campaign's funding deadline, the campaign has reached its floor funding goal. The amount you contributed is the amount that will be collected. If the campaign doesn't reach its floor goal, you can claim a full refund from the campaign contract, no funds will be released to the producer, and the campaign will be marked as FAILED.

    You receive tokens immediately upon contribution. When you contribute USDC to a campaign, you immediately receive campaign tokens to your wallet. The number of tokens you receive is determined by the token price set by the producer. These tokens are locked and non-transferable until the campaign graduates (successfully completes).

    Subject to certain exceptions, you can claim a refund before the campaign deadline. After you contribute to a campaign, you can claim a refund while the campaign is live by burning your tokens and receiving your USDC back from the campaign contract, except in the following scenarios:

  • After the campaign has reached its ceiling (maximum funding goal)

  • After the campaign deadline has passed

  • If the campaign has been cancelled by the producer or screener
  • Grace Period. If a campaign reaches between its floor and ceiling goals, it enters a grace period of up to 14 days. During this time:

  • The producer can extend the deadline once

  • Supporters can continue to contribute

  • The campaign can still reach its ceiling

  • If the grace period expires without reaching the ceiling, the campaign graduates with the amount raised
  • These are the terms that apply when you're creating and running a campaign:

    You can refund individual contributions if you want. After your campaign has been funded, you can manually refund a supporter's contribution by sending USDC directly to their wallet. If you fully refund a supporter's contribution, you should communicate with them about burning their tokens, though you have no technical ability to force this.

    Campaign funds are transferred directly to your wallet. RedCarpetHQ does not charge platform fees on campaign funding. You will receive 100% of the funds raised (minus blockchain gas fees paid to network validators).

    Some contributions may fail to process. Because some blockchain transactions can fail—for instance, due to insufficient gas, network congestion, or wallet issues—the amount of funding you receive may not be equal to the full amount attempted by supporters (less fees).

    Prepare for potential delays. Don't assume you'll be able to launch your campaign when you want; there could be a reason we're not able to approve it immediately upon submission, or a problem may arise that takes time to resolve. Don't assume you'll be able to immediately access your funding; there may be a delay between the end of a successful campaign and the finalization transaction that releases funds. Don't take any actions in reliance on collecting any of the money contributed by a certain time.

    Blockchain Transactions are Final. Once funds are released to your wallet through the smart contract, the transaction is final and cannot be reversed. Ensure your wallet address is correct before launching your campaign.

    Section 6. Trading and DeFi Services

    RedCarpetHQ provides marketplace and DeFi services for graduated campaign tokens. By using these services, you agree to the following terms:

    Marketplace Trading:

  • All trades are peer-to-peer through an escrow-based smart contract

  • A 2.5% trading fee applies to all trades

  • Trades are atomic and cannot be reversed once executed

  • You are responsible for verifying offer details before executing trades

  • Price manipulation and wash trading are prohibited
  • UnifiedVault (Lending and Borrowing):

  • Deposits are split 80% to lending pool, 20% to stability pool

  • Interest rates are variable and based on utilization and risk tier

  • Collateral can be liquidated if your position becomes undercollateralized

  • You are responsible for monitoring your collateral ratio

  • Liquidations are automatic and cannot be reversed
  • Trading Contests:

  • Contests run in 6-hour epochs

  • Only buy-side volume counts toward contest participation

  • Minimum 15,000 USDC volume threshold to qualify

  • Rewards are distributed pro-rata among qualified participants

  • First claimer receives a 1% bounty
  • Risk Tiers:

  • Tokens are assigned risk tiers (GREEN, YELLOW, RED) by the RiskOracle

  • Risk tiers affect collateral factors, interest rates, and liquidation thresholds

  • Risk tiers can change based on market conditions

  • You are responsible for understanding the risks associated with each tier
  • Section 7. Stuff We Don't Do and Aren't Responsible For

    We don't oversee campaigns' performance, and we don't mediate disputes between users.

    RedCarpetHQ isn't liable for any damages or losses related to your use of the Services. We don't become involved in disputes between users, or between users and any third party relating to the use of the Services. We don't oversee the performance or punctuality of campaigns, and we don't endorse any content users submit to the Site. When you use the Services, you release RedCarpetHQ from claims, damages, and demands of every kind—known or unknown, suspected or unsuspected, disclosed or undisclosed—arising out of or in any way related to such disputes and the Services. All content you access through the Services is at your own risk. You're solely responsible for any resulting damage or loss to any party.

    Blockchain and Smart Contract Risks: You acknowledge and accept the risks inherent in blockchain technology and smart contracts, including but not limited to:

  • Smart contract bugs or vulnerabilities

  • Blockchain network congestion or failures

  • Loss of private keys

  • Irreversible transactions

  • Regulatory uncertainty

  • Market volatility

  • Liquidation risks
  • RedCarpetHQ is not responsible for any losses resulting from these risks.

    Section 8. Our Fees

    Creating an account on RedCarpetHQ is free. There are no platform fees charged on campaign funding. Producers receive 100% of the funds raised (minus blockchain gas fees).

    Trading Fees: A 2.5% fee applies to all marketplace trades. This fee is distributed as follows:

  • 40% Protocol Treasury

  • 40% Trading Contest Pool

  • 10% UnifiedVault (Protocol)

  • 10% Producer Rewards
  • Gas Fees: All blockchain transactions require gas fees paid in ETH (or the native token of the blockchain network). These fees go to blockchain validators, not to RedCarpetHQ. You are responsible for ensuring you have sufficient ETH to pay for gas fees.

    You are responsible for paying any additional fees and all local, state, federal or other taxes and assessments associated with your use of RedCarpetHQ. For example, producers are solely responsible for collecting and/or remitting any applicable taxes for amounts received in connection with their fundraising campaigns and projects.

    Section 9. Other Websites and Services

    If you follow a link to another website, what happens there is between you and them—not us.

    RedCarpetHQ may contain links to other websites and services, including blockchain explorers, wallet providers, and decentralized applications. When you access third-party websites or services, you do so at your own risk. We don't control or endorse those sites or services.

    RedCarpetHQ partners with other companies (such as Stripe for fiat payments, and various blockchain infrastructure providers) for payment processing and blockchain services. When you use these services, you're also agreeing to their respective terms of service and privacy policies.

    Section 10. Your Intellectual Property

    We don't own the content you post on RedCarpetHQ, but you do grant us permission to use or copy it however we may need or deem appropriate. We generally use it to promote campaigns and showcase our community. Ultimately, you're responsible for the content you post, and you're promising us that it's ok to use.

    RedCarpetHQ doesn't own content you submit to us including for posting on your campaign page (your "Content"). But we do need certain licenses from you in order to perform our Services. When you submit a campaign for review, launch a campaign, or otherwise submit Content to us via email or any other means, you agree to these terms:

    We can use the Content you've submitted. You grant to us, and others acting on our behalf, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, reproduce, make derivative works, publicly display, publicly perform, distribute, disseminate, communicate, commercialize, and exploit the copyright, publicity, trademark, and database rights with respect to your Content.

    When we use the Content, we can make changes, like editing or translating it. You grant us the right to make derivative works of your Content. This may include edits, modifications, reformatting, excerpting, or translating any of your Content.

    You won't submit stuff you don't hold the copyright for (unless you have permission). Your Content must not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material and can pass those permissions along to us, or you are otherwise legally entitled to post the material.

    Any royalties or licensing fees owed by you to third parties are solely your responsibility. You will pay all royalties and other amounts owed to any person or entity associated with your Content, or that may be due as a result of posting that Content on RedCarpetHQ.

    You promise that if we use your Content, we're not violating anyone's rights or copyrights. If RedCarpetHQ or its users exploit or make use of your submission in the ways contemplated in these Terms you promise that this will not infringe or violate the rights of any third party, including (without limitation) any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.

    You're responsible for the stuff you post. All information submitted to the Site, whether publicly posted or privately transmitted, is solely your responsibility.

    We're not responsible for mistakes in your Content. RedCarpetHQ is not liable for any errors or omissions in any Content.

    Section 11. RedCarpetHQ's Intellectual Property

    The content on RedCarpetHQ is protected in various ways. You may use it for certain personal purposes only. You must ask us for permission before using it for any commercial purpose.

    RedCarpetHQ's Services are legally protected in various ways, including copyrights, trademarks, service marks, patents, trade secrets, and other rights and laws. You agree to respect all copyright and other legal notices, information, and restrictions contained in any content accessed through the Site. You also agree not to change, translate, or otherwise create derivative works of the Service.

    RedCarpetHQ grants you a non-exclusive, worldwide, non-sublicensable, non-transferable, revocable license to reproduce content from the Services for personal use only. This license covers both RedCarpetHQ's own protected content and user-generated content on the Site. If you want to do anything else with content on our Site, such as use it for commercial advantage or for a commercial purpose, you need prior written permission from RedCarpetHQ or the relevant copyright holder.

    Section 12. How We Deal with Copyright Issues

    We comply with applicable copyright laws. To learn more about how we deal with claims of copyright infringement, read our Copyright Policy.

    RedCarpetHQ has adopted a general policy regarding copyright in accordance with applicable law. RedCarpetHQ complies with copyright law, and we respond to notices of alleged infringement if they comply with the law and the requirements set forth in our Copyright Policy. We reserve the right to delete or disable content alleged to be infringing, and to terminate accounts for repeat infringers.

    Section 13. Deleting Your Account

    You can delete your account at any time, but doing so will not delete blockchain records or smart contract interactions.

    You can request account deletion at any time by contacting RedCarpetHQ Support. As permitted by law, we may retain certain information such as information necessary for our legitimate business purposes. These Terms remain in effect as to your prior and any ongoing use of our Site and Services by you, including our rights regarding any Content you've already submitted to the Site.

    Important: Deleting your account will not:

  • Delete your campaign from the blockchain

  • Remove your tokens from your wallet

  • Reverse any blockchain transactions

  • Delete your campaign page if it was successfully funded

    Section 14. Our Rights

    To operate, we need to be able to maintain control over what happens on our Site. We reserve the right to make decisions and to take any action we believe necessary or appropriate to protect the health and integrity of our system.

    To protect the health and integrity of our system and to help ensure that producers and supporters enjoy a safe and secure environment, RedCarpetHQ reserves these rights:

    We can make changes to the RedCarpetHQ Site and Services without notice or liability at any time.

    We have the right to decide who's eligible to use RedCarpetHQ. We may in limited circumstances impose restrictions or limitations on accounts. For particularly significant or repeated violations of our Terms or any other rules on the Site, we may cancel accounts or decline to offer our Services. We can change our eligibility criteria at any time.

    We have the right to reject, cancel, interrupt, remove, or suspend any campaign, at any time and for any reason.

    We have the right to cause funds to be withheld to comply with laws and regulations.

    We have the right to verify your identity and investigate your account details at any time. You agree to cooperate promptly with our verification requests and investigations. If you refuse to cooperate, we may cancel your campaign and/or your account, suspend payout of campaign funding, or take any other action we deem appropriate.

    We have the right to adjust risk tiers, pause trading, or take other protective measures if we detect market manipulation, wash trading, or other activities that threaten the integrity of our platform.

    RedCarpetHQ is not liable for any damages as a result of any of these actions.

    Section 15. Warranty Disclaimer

    We work hard to provide you with great services, but we can't guarantee everything will always work perfectly. This Site and the Services are presented and provided as-is, without warranties.

    You use our Site and Services solely at your own risk. They are provided to you "as is" and "as available" and without warranty of any kind, express or implied.

    REDCARPETHQ SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM REDCARPETHQ SHALL CREATE ANY WARRANTY.

    BLOCKCHAIN DISCLAIMER: REDCARPETHQ MAKES NO WARRANTIES REGARDING THE FUNCTIONALITY, SECURITY, OR RELIABILITY OF BLOCKCHAIN NETWORKS, SMART CONTRACTS, OR THIRD-PARTY WALLET PROVIDERS. YOU ACKNOWLEDGE THAT BLOCKCHAIN TECHNOLOGY IS EXPERIMENTAL AND MAY CONTAIN BUGS OR VULNERABILITIES.

    Section 16. Indemnification

    If you do something on RedCarpetHQ that winds up getting us involved in a dispute or sued, you have to help defend us.

    If you do anything that results in our involvement in a dispute, threatened with legal action, or sued, or break any of the promises you make in these Terms, you agree to defend, indemnify, and hold us harmless from all liabilities, claims, and expenses (including reasonable attorneys' fees and other legal costs) that arise from or relate to your use or misuse of our Site or Services. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to this indemnification clause, in which case you agree that you'll cooperate and help us in asserting any defenses.

    Section 17. Limitation of Liability

    If something bad happens as a result of your use of our Site or Services, we're not liable (beyond a small amount).

    To the fullest extent permitted by law, in no event will RedCarpetHQ, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your access to, use of, or inability to access or use the Site or Services; (ii) for any lost profits, data loss, or cost of procurement or substitute goods or services; (iii) for any conduct of content of any third party on the Site; or (iv) for any losses related to blockchain transactions, smart contract execution, market volatility, or liquidations. In no event shall RedCarpetHQ's liability for direct damages be in excess of (in the aggregate) one hundred U.S. dollars ($100.00).

    Section 18. Dispute Resolution and Governing Law

    We're located in Singapore, and any disputes with us have to be handled in Singapore under Singapore law.

    We at RedCarpetHQ encourage you to contact us if you're having an issue before resorting to the courts. Our RedCarpetHQ support team is on hand and ready to answer your questions. You can contact us at support@redcarpethq.org.

    In the unfortunate situation where legal action does arise, these Terms (and all other rules, policies, or guidelines incorporated by reference) will be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law. You agree that RedCarpetHQ and its Services are deemed a passive website that does not give rise to jurisdiction over RedCarpetHQ or its parents, subsidiaries, affiliates, assigns, employees, agents, directors, officers, or shareholders, either specific or general, in any jurisdiction other than Singapore.

    You agree that if you wish to file, commence, or prosecute any claim, action, lawsuit or proceeding of any kind, at law or in equity, arising out of or relating to these Terms or your use or non-use of RedCarpetHQ, you will do so only in the courts of Singapore, and will not file, commence, or prosecute any such claim, action, lawsuit, or proceeding in any other forum. You hereby consent and submit to the personal jurisdiction of these courts for the purposes of litigating any such claim, action, lawsuit, or proceeding.

    Section 19. The Rest

    These are our official terms and our rules for how things work.

    These Terms and the other material referenced in them are the entire agreement between you and RedCarpetHQ with respect to the Site and Services. They supersede all other communications and proposals (whether oral, written, or electronic) between you and RedCarpetHQ with respect to the Site and Services and govern our future relationship.
